A sale or purchase of a business can involve complex issues relating to employees of the business. The consideration in this article is appropriate only for an asset sale, in contrast to a share or equity sale. The issues can be broadly put into three groups: Retention, Entitlements, and Compliance. Retention How important are the staff to the functioning of the business? Would the business be valuable without the current staff? Put another way, would the buyer purchase the business without the employees (or a particular key employee)? This is a critical issue, particularly in smaller businesses which may be reliant on the knowledge or performance of one or two key personnel.…
Kahnawake was unimpressed with consultations on Quebec Indigenous language law
The Kanien’kehá:ka (Mohawk) community on Montreal’s South Shore has joined the growing number of groups against Quebec’s proposed Indigenous languages bill, criticizing the CAQ government’s “ingenuine consultation process.” The Mohawk Council of Kahnawake has been critical of François Legault’s government’s Bill 96 (An Act respecting French, the official and common language of Quebec) since it was tabled and is also objecting to the government’s proposed Indigenous languages law. “Quebec’s tactic is to propose legislation in an effort to mitigate negative impacts from how Bill 96 was forced into law,” said MCK Grand Chief Kahsennenhawe Sky-Deer. “History has shown that consultation is just a tool external governments use as a checkbox mechanism to say that Indigenous Peoples have been consulted and pass their legislation as planned.…
Revamped US News law school rankings yield major shifts
Large number of schools saw their rankings change by double digits US News changed its rankings methodology in response to a widespread boycott among law schools(Reuters) – US News & World Report on Thursday released its new law school rankings, capping off the unprecedented tumult over the annual list that included a boycott by nearly a third of law schools and a more than three-week delay caused by data problems. The final version of this year’s law school rankings brought several notable shifts among elite law schools and significant movement among many schools further down on the list. Those changes primarily were the result of the publication’s overhauled methodology that increased the weight of employment outcomes and bar passage rates and reduced the weight of Law School Admission Test scores and undergraduate grade-point averages.…
Iranian refugees from Toronto facing deportation fears persecution
Feminist film producer Mahshid Ahangarani Farahani came to Canada from Iran to study almost 20 years ago. Shortly thereafter, she applied for and was granted refugee status due to the deteriorating political situation in her homeland and the fears she had of being persecuted for having opposed the regime. Now, after almost two decades of living peacefully in Canada, the long-time North York resident is unexpectedly facing deportation back to Iran, where her films are banned and a warrant is out for her arrest, says her immigration lawyer Hana Marku. Her deportation may not be imminent – Canada has paused removal orders to Iran as that country is experiencing a humanitarian crisis – but the threat hangs over her just the same.…
